This is not deal number nine in a fund's third vintage. It is the business I intend to own and operate. That changes every decision after closing — what stays, who stays, and how fast anything moves.

No fund clock

Private equity has to return capital on a schedule, which is why the agency they bought in year two gets restructured in year five. I have no such deadline and no investor committee asking when the exit is.

Your name can stay on the door

Rebranding an agency that spent decades earning local recognition destroys the thing that was worth buying. I would rather keep it.

A real answer, either way

You will get a yes, a no, or a specific question. Not a maybe that lasts a quarter, and not silence — if I pass, you will know why.

How a conversation actually goes

Nothing here obligates you to anything, and nothing becomes public.

  1. A call

    Thirty minutes. What you built, what you want the next few years to look like, and whether selling is even the right answer. Sometimes it is not, and I will say so.

  2. A short list of questions

    Commission mix, carrier appointments, retention, staff tenure, how much of the book runs through you personally. Enough to know whether this is a fit, not a full diligence request.

  3. An indication of value

    A range and the reasoning behind it, in writing. If the number is not one you would accept, you have learned what your agency is worth and you owe me nothing.

  4. Diligence and close

    Only after you have seen a number you are comfortable with. Your staff and clients find out on your timeline, not mine.
